If you are accessing the Site on behalf of a healthcare organization, clinic, hospital, or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.
If you do not agree to these Terms, please do not use the Site.
2. About the Site
This Site is operated by Proxio Health LLC ("Proxio Health," "we," "us," or "our"), a company incorporated in the State of California. The Site is a marketing and informational website intended to provide information about our remote patient monitoring platform and to allow qualified healthcare professionals and organizations to request a product demonstration.
The Site is not a medical device, clinical tool, or patient-facing application. No patient health information should be submitted through this Site.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROXIO HEALTH LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF PROXIO HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PROXIO HEALTH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100).

10. Governing Law

You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you hereby consent to personal jurisdiction and venue in those courts.
11. Dispute Resolution and Arbitration
Informal Resolution
Before initiating any formal proceeding, you agree to first contact us at legal@proxiohealth.com and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration
If the dispute is not resolved informally, you and Proxio Health agree to resolve any claim, dispute, or controversy arising out of or relating to these Terms through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Los Angeles County, California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or unauthorized use of confidential information.
Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and Proxio Health individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
